Terms and conditions

1. Scope

These General Terms and Conditions (GTC) apply to all contracts and services concluded via the platform selisesignature.com between SELISE Group AG (hereinafter “Provider”) and users (hereinafter “Customer”).

The GTC apply to customers based both in the Federal Republic of Germany and in Switzerland. For consumers, mandatory statutory provisions of the respective country of residence shall apply.

2. Subject of the Agreement

The Provider offers an electronic platform where users can initiate a signature process by entering an email address or uploading a document, invite additional parties, and electronically sign documents.

3. Commencement of Use

Use of the platform begins as soon as the Customer either:

  • enters a valid email address, or

  • uploads a document for the purpose of signature.

By commencing use, the Customer accepts these GTC.

4. Electronic Signature and Customer Responsibility

The Provider supports simple, advanced, and qualified electronic signatures.

  • In the European Union, this is in accordance with the eIDAS Regulation (EU) No. 910/2014.

  • In Switzerland, this is in accordance with the Federal Act on Electronic Signatures (ZertES).

The legal effect of a signature depends on the chosen security level (SES, AES, QES).

  • A qualified electronic signature (QES) is equivalent to a handwritten signature in both the EU and Switzerland.

  • Simple or advanced signatures can be legally valid but do not always meet statutory written form requirements.

The Customer is responsible for informing themselves about the legal implications of the chosen type of signature.

The Provider does not provide legal advice and assumes no responsibility for the legal suitability of the signature in the specific case.

The Customer bears sole responsibility for the content of uploaded documents and for deciding which type of signature to use.

5. Customer Obligations

The Customer may not use the platform for unlawful purposes.
Uploading content that violates applicable law, third-party rights, or these GTC is prohibited.
The Customer must ensure that they hold all necessary rights to the uploaded documents.

6. Provider Obligations

The Provider ensures a technical availability of the platform of at least 98% on an annual average.
Maintenance work and unavoidable downtime are excluded.
The Provider is not liable for interruptions caused by internet services, third parties, or force majeure.

7. Data Protection

  • For users in the EU/EEA, the General Data Protection Regulation (GDPR) applies.

  • For users in Switzerland, the Federal Act on Data Protection (FADP) applies.

The Provider implements appropriate technical and organizational measures to protect data.

8. Fees

Use of the platform may be free of charge or subject to fees.
Any applicable charges are based on the current price list.
Prices are stated in euros or Swiss francs and include the applicable VAT.

9. Liability

The Provider is liable without limitation only for intent and gross negligence.

Liability for simple negligence is excluded unless essential contractual obligations (cardinal obligations) are affected. In such cases, liability is limited to foreseeable, contract-typical damages.

Liability for loss of profit, indirect damages, data loss, or consequential damages is excluded.

The Customer expressly acknowledges that responsibility for the legal effectiveness of a signature and the accuracy of the document content lies solely with them.

Mandatory provisions of product liability law remain unaffected.

10. Changes to the Platform and GTC

The Provider reserves the right to change, restrict, or discontinue platform functions at any time.
Changes to these GTC will be communicated to the Customer in due time. If the Customer does not object within 14 days, the changes are deemed accepted.

11. Term and Termination

The contract is concluded for an indefinite period.
The Customer may terminate use at any time by deleting their account.
The Provider may terminate the contract with 14 days’ notice.
The right to terminate without notice for good cause remains unaffected.

12. Jurisdiction and Applicable Law

  • For customers based in the Federal Republic of Germany, German law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods. Jurisdiction is the legal residence of the consumer or – for entrepreneurs – the Provider’s registered office.

  • For customers based in Switzerland, Swiss law applies exclusively. Jurisdiction is Zurich, Switzerland, unless mandatory statutory provisions provide otherwise.

 

13. Severability Clause

If any provision of these GTC is invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by the statutory provision.
